By accessing or using SQAN ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users in Canada and the United States.
SQAN is a payment facilitation platform that enables independent contractors, freelancers, and service businesses to create invoices and accept payments from their clients. SQAN does not itself process, hold, or transmit funds. All payment processing is performed by Stripe, Inc. under their own terms and conditions.
SQAN acts solely as a software intermediary between you (the service provider) and your client (the payer). SQAN is not a party to any transaction between you and your client.

SQAN does not verify the quality, legality, or accuracy of the services you provide. Any disputes between you and your clients are your responsibility to resolve.
To accept payments, you must connect a Stripe Express account. By doing so, you agree to Stripe's Connected Account Agreement and Stripe's Terms of Service. SQAN is not responsible for Stripe's actions, fees, holds, or decisions regarding your account.
Payments made by your clients are processed instantly by Stripe. However, payouts to your bank account are subject to Stripe's payout schedule, which may vary based on your account type, verification status, and location. New accounts may experience a payout delay of several business days while Stripe completes account verification. SQAN has no control over Stripe's payout timing.
If a client disputes a payment or initiates a chargeback, the dispute is handled directly by Stripe under their dispute resolution process. You will be notified by Stripe of any dispute. SQAN does not intervene in payment disputes between you and your clients.
You are responsible for responding to disputes within the timeframe specified by Stripe. Funds subject to a dispute may be temporarily held by Stripe pending resolution. SQAN is not liable for any funds withheld or reversed by Stripe as a result of a dispute or chargeback.
Refund decisions are entirely at your discretion as the service provider. SQAN does not issue refunds on your behalf.
Free Plan: A 5% application fee per successful transaction is collected by SQAN (pay-as-you-go — no monthly charge).
Pro Plan ($14.99/month): A 2% SQAN application fee per successful transaction. Stripe's standard payment processing fees apply to all plans and are separate from SQAN fees.
Founders / Lifetime Plan ($149.99 one-time): 0% SQAN application fee forever. No monthly subscription.
Fees are subject to change with 30 days' written notice.
You may not use SQAN for peer-to-peer money transfers, illegal activities, or any purpose that violates applicable laws in Canada or the United States. SQAN is intended solely for businesses invoicing clients for legitimate goods and services.
SQAN reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that causes harm to SQAN, other users, or third parties. You may delete your account at any time by contacting us. Upon termination, your access to the Service will cease; however, data may be retained as required by law or for legitimate business purposes.
You agree to indemnify, defend, and hold harmless SQAN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
SQAN is provided "as is" without warranties of any kind. To the maximum extent permitted by applicable law, SQAN shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service, including but not limited to loss of revenue, loss of data, or business interruption.
These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
Users in the United States acknowledge that SQAN is operated from Canada and agree to the above governing law.
SQAN reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
